DISSOLVING A N.J. CORPORATION
- The first step to properly dissolve a corporation, is to pay all taxes owed to the
State of New
Jersey.
- The Division of Taxation must issue a tax clearance certificate to the New Jersey
Division of Revenue, which regulates corporations.
- Once
the Division of Revenue has a tax clearance certificate, a Certificate of
Dissolution and the filing fees, it dissolves the corporation.
- If
you do not properly dissolve a corporation, or file the annual reports, (which
must be done on line), the Division will automatically
revoke the corporate
charter.
- Revocation of a corporate charter does not forgive any corporate or personal tax
liability.
